Terms of Service

For the purposes of these Terms, the following definitions apply:

• "Products" refers to all physical goods manufactured or supplied by ELEKSEC, including but not limited to retrofit motorized smart locks, smart lock cylinders, smart cylinder protectors, Wi-Fi gateways, door sensors, keypads, BLE relays, key fobs, and related accessories.
• "Services" refers to OEM manufacturing, ODM development, one-stop R&D solutions, engineering collaboration, marketing material assistance, and any other services offered by ELEKSEC.
• "Content" refers to all text, images, graphics, photographs, 3D animations, product visuals, technical specifications, videos, data, software, and other materials displayed on or available through the Site.
• "Business Partner" refers to any entity or individual engaged in or exploring a commercial relationship with ELEKSEC, including hardware brands, wholesalers, distributors, dealers, and system integrators.
• "Platform Partners" refers to third-party smart lock platform providers whose technologies may be integrated into ELEKSEC products, including but not limited to Tuya and TTLock.

2.1 Permitted Use

This Site is intended for business and informational purposes. You may use the Site to learn about ELEKSEC's products, services, solutions, and capabilities, and to initiate business inquiries. You agree to use the Site only for lawful purposes and in accordance with these Terms.

2.2 Prohibited Conduct

You agree not to:

• Use the Site in any way that violates any applicable local, national, or international law or regulation.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its Content for commercial purposes without express written permission from ELEKSEC.
• Attempt to gain unauthorized access to any part of the Site, its servers, or any systems or networks connected to the Site.
• Use any automated system, including robots, spiders, or scrapers, to access the Site for any purpose without our express written permission.
• Introduce any viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.
• Misrepresent your identity or affiliation with any person or organization when contacting ELEKSEC through the Site.

2.3 Account and Inquiry Accuracy

When submitting inquiries, contact forms, or any information through the Site, you agree to provide accurate, current, and complete information. ELEKSEC reserves the right to refuse service or terminate communications if information provided is found to be inaccurate or fraudulent.

3.1 Product Descriptions

ELEKSEC makes every effort to display and describe its products accurately on the Site, including retrofit motorized smart locks (e.g., Model D2), smart lock cylinders (e.g., Models D1 Plus, D3), smart protectors for lock cylinders (e.g., Model EP1), and related accessories. However, product images, specifications, features, and descriptions on the Site are for general informational and reference purposes only.

3.2 No Direct Sales

The Site does not function as an e-commerce platform. No products or services can be purchased directly through the Site. All commercial transactions, including pricing, minimum order quantities, payment terms, delivery schedules, and warranties, are subject to separate written agreements negotiated between ELEKSEC and the Business Partner.

3.3 Product Modifications

ELEKSEC reserves the right to modify, update, discontinue, or change any product specifications, features, designs, or availability at any time without prior notice on the Site. Final product specifications shall be as agreed upon in the applicable commercial contract or purchase order.

3.4 Platform Integration

Certain ELEKSEC products integrate with third-party platforms such as Tuya, TTLock, Matter, Google Assistant, and Alexa. The availability, functionality, and terms of use for these platform integrations are governed by the respective platform providers. ELEKSEC does not guarantee uninterrupted availability or compatibility of third-party platform services and shall not be held liable for any changes, disruptions, or discontinuations made by third-party platform providers.

3.5 Solution Recommendations

Solution recommendations presented on the Site (including Home Smart Access, Vacation Rental & Hospitality, and Commercial & SME Access Control) are provided as general guidance. Actual solution configurations, product selections, and system integrations should be discussed and confirmed directly with ELEKSEC's sales and engineering teams based on your specific requirements.

4.1 Scope of OEM/ODM

ELEKSEC offers OEM (Original Equipment Manufacturing) and ODM (Original Design Manufacturing) services, as well as one-stop product development from concept to mass production. These services include but are not limited to mechanical design, electronic and PCB design, prototyping, validation, and mass production support.

4.2 Separate Agreements Required

All OEM/ODM engagements are governed by separate written agreements between ELEKSEC and the Business Partner. These agreements shall specify project scope, timelines, pricing, intellectual property ownership, quality standards, minimum order quantities, and other relevant terms. Information presented on the Site regarding OEM/ODM capabilities does not constitute a binding offer or commitment.

4.3 Development Process

ELEKSEC's one-stop R&D solution covers the full development cycle from initial concept and design through to mass production. The specific development process, milestones, deliverables, and approval stages for each project shall be defined in the applicable OEM/ODM agreement.

4.4 Marketing Material Support

ELEKSEC may provide customized product photographs, feature visuals, and 3D animations as part of its marketing support services. The usage rights, scope, and restrictions for such materials shall be specified in the relevant commercial agreement. Unless explicitly authorized in writing, such materials remain the property of ELEKSEC.

5.1 Ownership

All Content on the Site, including but not limited to the ELEKSEC brand name, logo, product designs, product images, 3D animations, technical documentation, text, graphics, software, and the overall design and layout of the Site, is the property of ELEKSEC or its licensors and is protected by applicable intellectual property laws, including copyright, trademark, and patent laws.

5.2 Trademarks

"ELEKSEC" and the ELEKSEC logo are trademarks of Zhongshan City EOS Secure Technology Co., Ltd. Other product names, company names, and logos mentioned on the Site (such as Tuya, TTLock, Matter, Google Assistant, Alexa, Tsugami, and FUJI) are trademarks of their respective owners. Their mention on this Site does not imply endorsement by or affiliation with ELEKSEC unless expressly stated.

5.3 Restrictions

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Content on the Site without the prior written consent of ELEKSEC, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial, or internal business evaluation use and not for further reproduction, publication, or distribution.

5.4 Proprietary Technology

ELEKSEC has developed its own proprietary electronic locking system. All intellectual property rights related to ELEKSEC's self-developed systems, firmware, hardware designs, and manufacturing processes are exclusively owned by ELEKSEC and are protected under applicable laws.

6.1 Confidential Information

In the course of using the Site or engaging with ELEKSEC, you may receive or have access to confidential information, including but not limited to product specifications, pricing structures, manufacturing processes, technical data, business strategies, and customer information. You agree to treat all such information as confidential and not to disclose it to any third party without ELEKSEC's prior written consent.

6.2 Business Inquiries

Information submitted through inquiry forms, emails, or other communication channels on the Site will be treated as confidential business correspondence. ELEKSEC will use such information solely for the purpose of responding to your inquiry and evaluating potential business opportunities.

6.3 NDA Provisions

For OEM/ODM projects and deeper business collaborations, ELEKSEC may require the execution of a separate Non-Disclosure Agreement (NDA). The terms of any such NDA shall supplement and, where applicable, supersede the confidentiality provisions in these Terms.

To the fullest extent permitted by applicable law, ELEKSEC disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Site will be uninterrupted, timely, secure, or error-free.
• Warranties regarding the accuracy, reliability, or completeness of any Content on the Site.
• Warranties that defects will be corrected or that the Site or the server that makes it available are free of viruses or other harmful components.

Product warranties, if any, shall be provided exclusively under the terms of the applicable commercial agreement or purchase order between ELEKSEC and the Business Partner.

To the fullest extent permitted by applicable law, in no event shall ELEKSEC, its directors, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities.
• Costs of procurement of substitute goods or services.
• Any damages arising from your use of or inability to use the Site.
• Any damages arising from reliance on any Content obtained from the Site.

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if ELEKSEC has been advised of the possibility of such damages. Liability related to the supply of physical products shall be governed exclusively by the applicable commercial agreement.

9.1 Global Accessibility

The Site is operated from the People's Republic of China. ELEKSEC primarily serves international markets including Europe, the Middle East, Russia, Australia, and South America. However, ELEKSEC makes no representation that the Content on the Site is appropriate or available for use in all locations.

9.2 Local Compliance

If you access the Site from outside China, you do so on your own initiative and are responsible for compliance with local laws applicable to your jurisdiction. You are responsible for ensuring that the import, sale, installation, and use of ELEKSEC products comply with all applicable laws, regulations, standards, and certifications in your target market.

9.3 Export Controls

You agree not to export, re-export, or transfer any products, technology, or technical data obtained from ELEKSEC in violation of any applicable export control laws or regulations.

9.4 Product Certification

Product certifications, compliance standards, and regulatory approvals may vary by market. ELEKSEC will work with Business Partners to understand certification requirements, but it is the Business Partner's responsibility to verify and ensure all necessary certifications are obtained for their specific markets.

10.1 Data Collection

ELEKSEC may collect personal and business information through the Site, including but not limited to names, email addresses, phone numbers, company names, and inquiry details submitted through contact forms. This information is collected solely for the purpose of responding to business inquiries and facilitating potential commercial relationships.

10.2 Data Use

Information collected through the Site will be used to:

• Respond to your inquiries and provide requested information about products and services.
• Evaluate and develop potential business partnerships.
• Improve the Site and our services.
• Comply with legal obligations.

10.3 Data Protection

ELEKSEC implements reasonable technical and organizational measures to protect the personal information collected through the Site. We will not sell, rent, or share your personal information with third parties for their marketing purposes without your explicit consent.

10.4 Cookies

The Site may use cookies and similar tracking technologies to enhance your browsing experience and analyze site usage. ELEKSEC does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services. Your access to and use of third-party websites is at your own risk and subject to the terms and conditions of those websites.

The inclusion of any link on the Site does not imply endorsement, sponsorship, or recommendation by ELEKSEC of the linked website or any association with its operators.

You agree to defend, indemnify, and hold harmless ELEKSEC, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Site.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any claim that information you provided caused damage to a third party.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its then-current arbitration rules. The place of arbitration shall be Guangzhou, China. The language of arbitration shall be English.

13.3 Commercial Agreements

Disputes arising from specific commercial agreements (such as OEM/ODM contracts, purchase orders, or supply agreements) shall be governed by the dispute resolution provisions contained in those respective agreements, which shall take precedence over this section.

ELEKSEC reserves the right to revise and update these Terms at any time at its sole discretion. All changes are effective immediately when posted on the Site and apply to all access to and use of the Site thereafter.

The "Last updated" date at the top of this page indicates when these Terms were last revised. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.

15.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent. If such modification is not possible, the relevant provision shall be severed, and the remaining provisions of these Terms shall continue in full force and effect.

15.2 Waiver

No waiver by ELEKSEC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of ELEKSEC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

15.3 Entire Agreement

These Terms, together with any separate commercial agreements executed between you and ELEKSEC, constitute the sole and entire agreement between you and ELEKSEC regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
